Terms of Service

1. Agreement

By engaging Built Different Labs, LLC(“Built Different Labs,” “we,” “us,” or “our”) for any service — including web design, local SEO, Google Business Profile management, hosting, branding, or digital advertising — you (“Client”) agree to the following terms. These terms govern the relationship between Built Different Labs and the Client from initial engagement through project completion and any ongoing services.

2. Services

The specific services, deliverables, timeline, and pricing for each engagement are documented in a written proposal or project agreement provided before work begins. That agreement, together with these Terms, forms the complete understanding between the parties. Services may include:

• Custom website design and development
• Local SEO strategy and implementation
• Google Business Profile setup and management
• Website hosting and maintenance plans
• Branding and graphic design
• Digital advertising setup and management

3. Payment

Payment terms are specified in the project proposal. All monthly plans are billed by autopay at the start of each billing period. Site + Plan packages include a down payment at kickoff, with the cost of the website build spread across a 12-month commitment. For one-time (build-only) websites, 50% of the project fee is due before work begins and the remaining 50% is due at launch. Invoices not paid within 15 days of the due date may result in a pause of services until the outstanding balance is resolved. Fees for third-party platforms (ad spend, domain registration, etc.) are the Client's responsibility unless otherwise stated in writing.

4. Client Responsibilities

A successful project depends on timely collaboration. The Client agrees to:

• Provide all required content (text, photos, logo files, business information) by agreed deadlines
• Review drafts and provide clear, consolidated feedback within the agreed review period
• Designate a single point of contact with authority to approve decisions
• Ensure all content provided to us does not infringe on any third-party rights

Delays caused by the Client's failure to provide materials or feedback may result in adjusted timelines. Built Different Labs reserves the right to reschedule work that has stalled due to inaction from the Client for more than 30 days.

5. Revisions

The number of included revision rounds is specified in the project proposal. Revisions are defined as changes to the existing agreed-upon scope — not new features or significant changes in direction. Work outside the included scope will be quoted and billed separately at our standard hourly rate.

6. Intellectual Property

Once the website build is paid in full, the Client owns the custom design, written content and site files produced specifically for their project, along with their domain. For build-only projects, that is upon final payment. For Site + Plan packages, Built Different Labs owns the site code until the build is paid off — either by completing the 12-month commitment or by paying the build in full. Built Different Labs retains the right to display completed work in our portfolio and marketing materials. Stock assets, third-party fonts, and licensed plugins are subject to their own respective licenses.

7. Cancellation

Either party may cancel a project with written notice. If the Client cancels a build-only project after work has begun, any deposit paid is non-refundable and additional payment may be owed for work completed to that point, pro-rated against the total project fee. If the Client cancels a Site + Plan package before the 12-month commitment is complete, the Client chooses one of two options: Built Different Labs takes the website down and keeps the site code, or the Client pays the remaining build balance (less what has already been paid toward it) and takes the website with them. After the 12-month commitment, the Client may take their website or continue on a plan. Plans for existing websites have a 3-month minimum. For monthly services, cancellation takes effect at the end of the current billing period with at least 15 days' written notice. Built Different Labs may terminate services immediately if the Client violates these Terms or engages in unlawful conduct.

8. Results Disclaimer

We build websites and implement SEO strategies based on industry best practices and our professional experience. We do not guarantee specific search rankings, traffic levels, or revenue outcomes. Search engine algorithms are outside our control. Past results shared in case studies or examples represent individual client outcomes and are not a guarantee of future performance.

9. Limitation of Liability

Built Different Labs' total liability for any claim arising from services provided shall not exceed the total fees paid by the Client for the specific service in dispute. We are not liable for indirect, incidental, or consequential damages including lost revenue or lost business opportunities. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted by law.

10. Confidentiality

Both parties may share confidential business information during the course of an engagement. Each party agrees not to disclose the other's confidential information to third parties without prior written consent, except as required by law. This obligation survives the termination of the engagement.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina. Any disputes shall be resolved in the courts of Burke County, NC, or through mutually agreed alternative dispute resolution before litigation is pursued.

12. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or engagement of our services after changes are posted constitutes acceptance of the updated Terms. Active project agreements are governed by the Terms in effect at the time the agreement was signed.
